Membership Service Agreement
BitFrog Membership Service Agreement
(English Version)This BitFrog Membership Service Agreement (hereinafter referred to as “this Agreement”) is entered into by and between the BitFrog platform operator (“BitFrog” or “the Platform”) and the user (“User” or “Member”).Before activating or using the BitFrog membership services (“Membership Services”), please read this Agreement carefully and ensure that you fully understand and accept all of its terms.By activating, accessing, or using any Membership Service, the User is deemed to have read, understood, and agreed to be bound by this Agreement. If the User does not agree to any part of this Agreement, the User must immediately stop using the Membership Services.
This Agreement supplements the BitFrog User Agreement, Privacy Policy, and other relevant platform rules. Together, they constitute the complete agreement governing the User’s use of BitFrog services. In case of conflict, this Agreement shall prevail with respect to membership-related matters.
“Membership Services” refer to certain value-added services, features, and privileges provided by BitFrog to eligible Users, including the membership tier system, task-based rewards, extended feature limits, and other premium functionalities.
Users must possess full civil capacity. If a User does not have such capacity, the Membership Services must be used under the supervision of a legal guardian, who shall bear all corresponding responsibilities.
BitFrog currently offers the following membership tiers (subject to the actual display on the Platform):
Regular User
VIP Member (“VIP”)
SVIP Member (“SVIP”)
Different tiers provide different benefits, including but not limited to:
Higher limit for indicator settings;
Access to all cryptocurrency alert permissions;
Higher quota for custom Twitter subscription sources;
Task-based rewards and additional privileges;
Other value-added functions introduced by BitFrog from time to time.
BitFrog may reasonably adjust the names, quantity, upgrade paths, and privileges of membership tiers based on business needs or product iteration. Users will be notified via announcements, in-app notifications, or other reasonable means.
BitFrog supports both task-based upgrading and paid activation/upgrading. Users may obtain or upgrade membership tiers by completing required tasks, participating in events, or purchasing membership services.
Task-based upgrade rules:
Users must complete designated tasks within the specified cycle to obtain or maintain certain tiers. Example:
e.g., “Perform 3 valid trades within the monthly cycle” (actual conditions are subject to the in-app display).
The system evaluates task completion status daily at 02:00 (Platform server time) and updates membership tiers accordingly.
Paid activation or upgrade:
When Users activate or upgrade members via payment, the fee, duration, and corresponding benefits shall follow the information displayed on the Platform or event page.
Special rules displayed on certain pages or event descriptions, if any, shall prevail.
BitFrog shall not be held liable for upgrade delays caused by factors beyond its reasonable control, including but not limited to:
Exchange API authorization expiration or misconfiguration;
Abnormal, missing, or delayed trading records;
Network instability or third-party service interruptions. Users are responsible for checking their exchange binding status and API configuration.
Membership privileges follow a fixed validity cycle, as shown on the “Membership Details” page within the Platform.
A membership tier may be automatically extended if the User continues to meet the task criteria or satisfies the renewal rules set by BitFrog.
If the User fails to meet the required task criteria within the current cycle, the system will automatically downgrade the membership tier at 02:00 the next day.
Whether the Membership Services support auto-renewal, the renewal process, and the duration of each renewal cycle shall be subject to the Platform's display and rules.
When a membership tier is downgraded, expired, or otherwise adjusted, and the User’s existing feature usage exceeds the limit allowed by the new tier (e.g., indicator count, Twitter subscriptions), the system will trigger an Over-Limit Cleanup Process.
A 15-day grace period applies:
Within the grace period:
If the User restores their previous membership tier (or a higher one) through eligible tasks or valid methods, all over-limit features will continue to be retained.
After the grace period:
If the User fails to restore the tier, BitFrog will automatically delete the over-limit elements and retain only what the new tier allows.
The cleanup logic (e.g., deletion based on creation time, activity, system algorithm, or other rules) is determined by the system. Users may not request or specify which items should be retained or removed.
BitFrog reserves the right to suspend or terminate certain Membership Services earlier if required by legal, compliance, or regulatory obligations, with reasonable notice provided when feasible.
Some membership privileges require binding third-party exchange APIs or completing other necessary configurations before taking effect.
Service exceptions, interruptions, or changes caused by external factors—including but not limited to exchange API changes, social platform policy modifications, cooperation adjustments, or network issues—shall not be deemed BitFrog’s fault.
Membership privileges are strictly limited to the User’s own account and may not be rented, lent, transferred, resold, or shared.
Users must not access or use membership functionalities through unauthorized methods, including but not limited to bot automation, crawling, bypassing permission restrictions, or reverse engineering. BitFrog reserves the right to restrict features, revoke membership, or ban accounts when violations are detected.
If a privilege is jointly provided with a third-party partner, the User must also comply with the partner's applicable terms and policies.
To improve product quality and operational efficiency, BitFrog may adjust membership tiers, task requirements, privilege lists, cleanup rules, and display formats as necessary. Users will be notified through proper channels.
In cases of force majeure (including natural disasters, war, strikes, government actions, regulatory changes, major cybersecurity incidents, etc.), BitFrog shall be exempt from liability to the extent allowed by law.
If any third-party service is discontinued or restricted for compliance reasons, BitFrog may substitute, modify, or terminate the affected privileges while notifying Users in a reasonable manner.
BitFrog may suspend or terminate Membership Services for a specific User based on security, compliance, or operational considerations, without being liable for any resulting losses.
The User agrees to:
Provide accurate, complete, and lawful information;
Properly configure exchange APIs and related parameters;
Refrain from any form of false trading, manipulation, or simulation intended to unlawfully obtain membership benefits.
If BitFrog reasonably suspects or confirms any of the following violations, it may apply penalties including warnings, feature restrictions, content cleanup, removal of membership status, downgrade, suspension, or permanent account ban:
Obtaining membership benefits through improper means;
Maliciously abusing platform services;
Violating this Agreement, platform rules, or relevant laws.
Users must safeguard their account credentials, API keys, passwords, and authentication devices. Any losses caused by user negligence shall be borne solely by the User.
BitFrog provides data processing, alerts, analytics, and tool-based functionalities. BitFrog does not provide investment, financial, legal, tax, or trading advice.
BitFrog is not responsible for service delays or errors caused by:
Network congestion or failure;
Exchange API issues, outages, or changes;
User’s API misconfiguration or expiration;
Errors returned by third-party services.
Digital asset trading carries high risks. The User bears full responsibility for all trading decisions and the resulting gains or losses. BitFrog does not guarantee any form of investment return.
If membership privileges are removed due to the User’s failure to complete tasks, restore membership during the grace period, or act in accordance with rules, BitFrog bears no responsibility.
BitFrog may modify or supplement this Agreement based on business needs, legal requirements, or regulatory changes.
The updated Agreement becomes effective immediately upon publication on the Platform and supersedes previous versions.
By continuing to use the Membership Services after updates, the User is deemed to have accepted the revised Agreement.
Section titles are for convenience only and do not affect the interpretation of the Agreement. BitFrog reserves the right of final interpretation within the limits of applicable law.
This Agreement shall be governed by the laws of the jurisdiction where the BitFrog platform operator is domiciled (excluding conflict-of-law principles).
Any dispute arising from or related to this Agreement shall first be resolved through friendly negotiation.
If negotiation fails, either party may initiate litigation before a court with jurisdiction in the domicile of the BitFrog platform operator.
Matters not covered herein shall be supplemented by BitFrog’s announcements, in-app notifications, help center documentation, activity rules, or other published content.
If any clause of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain fully effective.
By clicking “Agree”, “Activate Membership”, “Upgrade”, or by using any Membership Service, the User acknowledges that they have fully read and accepted this Agreement.
