BitFrog Voice Alert Service Agreement
This BitFrog Voice Alert Service Agreement (hereinafter, this “Agreement”) governs your use of the voice alert/phone call reminder service provided by the BitFrog platform (“BitFrog”, “the Platform”, “we”, “us”).The “Voice Alert Service” referred to in this Agreement means an automated telephone reminder service provided by BitFrog. Users may configure price alerts, indicator alerts, strategy signals, fund-related events, and other trigger conditions within the BitFrog app or related products. When the BitFrog system detects that such conditions are met, it will place an automated voice call to the mobile phone number you have registered or designated.Please read this Agreement carefully and thoroughly understand all of its terms, especially those relating to risk, limitation of liability, and disclaimers.Unless and until you have carefully read, fully understood, and accepted all terms of this Agreement, you are not authorized to use the BitFrog Voice Alert Service. By clicking “Agree”, “Next”, “Enable Voice Alerts”, or by actually using the Voice Alert Service (or indicating acceptance in any other express or implied manner), you are deemed to have read and agreed to be bound by this Agreement. This Agreement then takes legal effect between you and BitFrog and is legally binding on both parties.
Article 1 – Parties and Definitions
1.1 The parties to this Agreement are:(1) The user who uses the BitFrog Voice Alert Service (“User”, “you”); and(2) The operator of the BitFrog platform (“BitFrog”, “the Platform”, “we”, “us”).1.2 For the purposes of this Agreement, the “Voice Alert Service” refers to an automated voice telephone reminder service whereby BitFrog places phone calls to the mobile number provided by the User, based on alert conditions configured by the User in the BitFrog app.1.3 The Voice Alert Service is a notification tool only. It does not constitute investment advice, trading instructions, or any guarantee of returns.
Article 2 – Service Description
2.1 Within BitFrog, you may configure, including but not limited to, the following types of alert conditions (subject to the features actually provided):(1) Asset price reaching or breaking a specified level or percentage change;(2) Technical indicator events such as MACD, BOLL, KDJ and other technical signals;(3) Strategy-based signals, such as trader signals or strategy alert signals;(4) Fund-related events (where applicable), including liquidation risk, changes in funding rates, or account risk ratio reaching a threshold;(5) Any other alert conditions supported by BitFrog.2.2 When the BitFrog system detects that a configured alert condition is satisfied, it will place an automated voice call to the User’s registered or designated mobile number and play the corresponding voice message. The actual content of the alert shall be as broadcast in the voice call.2.3 The Voice Alert Service only provides notification of the event and does not guarantee that: (1) You will successfully receive or answer the call; (2) You will be able to execute any trading actions (such as opening/closing positions, stop-loss, or take-profit) in time following the alert; (3) You will avoid any losses or obtain any specific profits.2.4 You understand and agree that the Voice Alert Service may co-exist with other notification channels (such as app push, SMS, email, or Webhook), and that the set of available channels is determined by BitFrog in its sole discretion.
Article 3 – Service Fees and Activation
3.1 The Voice Alert Service may be charged on a basis including but not limited to:(1) Membership benefits;(2) Voice credit packages or usage counts;(3) Per-call billing;as displayed in the BitFrog app. The specific pricing, billing method, validity period, and available call quota are subject to the information presented on the relevant BitFrog pages.3.2 You must complete payment and activation according to the instructions on the BitFrog page. Upon successful payment and confirmation by the system, the Voice Alert Service or voice credits will be activated for your account.3.3 Once the service has been activated and made available, no refunds will be provided, except where mandatory provisions of applicable law require otherwise, given the real-time and non-reversible nature of the Voice Alert Service.3.4 If any issue arises during payment (including but not limited to payment errors, network problems, or payment channel failures), you shall promptly contact BitFrog customer support for assistance.3.5 You understand and acknowledge that: (1) The fees you pay to BitFrog are service fees for the Voice Alert Service, and do not include any additional telecom carrier charges that may result from call duration or roaming; (2) You are solely responsible for any voice call or roaming fees charged by your mobile carrier due to your use of the Voice Alert Service.
Article 4 – User Rights and Obligations
4.1 You are entitled, during the validity period of the service and within the remaining voice call quota, to use the Voice Alert Service provided by BitFrog.4.2 You must ensure that the mobile phone number you provide to BitFrog is accurate, valid, and capable of receiving voice calls. You must promptly update your number in the Platform if it changes. BitFrog shall not be liable for any failed or delayed alerts resulting from incorrect phone numbers, suspended service, roaming restrictions, call blocking, blacklisting, or similar circumstances related to your number or carrier.4.3 You should configure alert conditions reasonably and avoid excessive or abusive use of alert settings. BitFrog reserves the right, for system stability and user experience, to limit the frequency of alerts, the number of calls per day, or similar usage parameters per user.4.4 You must not use the Voice Alert Service for any unlawful or unauthorized purposes, including but not limited to:(1) Using the service for harassment, mass calling, telemarketing, or any purpose inconsistent with its design as a personal trading/market reminder tool;(2) Setting another person’s phone number as the alert number without that person’s explicit consent;(3) Using the service to conduct any activities that violate laws, regulations, or the legitimate rights and interests of third parties.4.5 If your misuse of the service results in third-party complaints, claims, or any form of loss or damage, you shall bear full responsibility and compensate BitFrog for all resulting losses. BitFrog may suspend or terminate your access to the Voice Alert Service and may take further measures as appropriate.
Article 5 – BitFrog’s Rights and Obligations
5.1 BitFrog will, based on then-available technology and commercially reasonable efforts, provide the Voice Alert Service and, where practicable, notify you in advance of planned maintenance and major changes.5.2 BitFrog will endeavor to maintain the normal operation and stability of the Voice Alert Service. However, BitFrog shall not be liable for service interruptions, delays, or failures caused by:(1) Faults or interruptions in telecom carriers’ networks or general internet connectivity;(2) Issues with your device, including power-off status, lack of signal, airplane mode, or similar conditions;(3) Problems or failures involving third-party voice service providers;(4) Force majeure events or other circumstances beyond BitFrog’s reasonable control.5.3 The content of any voice alert is generated solely to inform you that your configured conditions have been met. It does not constitute any form of investment advice, recommendation to trade, or representation as to future performance. BitFrog does not guarantee any profit or bear any trading or investment losses that you may incur as a result of relying on voice alerts.5.4 BitFrog reserves the right to modify the specific features, content, or billing methods of the Voice Alert Service based on business needs and compliance requirements. Any material changes will be communicated via in-app notices, page prompts, or other appropriate channels.
Article 6 – Risk Disclosure and Disclaimer
6.1 You understand and agree that the Voice Alert Service involves the following non-exhaustive risks: (1) Alerts may be delayed due to system processing time or network transmission, and real-time or zero-latency delivery cannot be guaranteed; (2) Due to differences among exchanges or data sources, the price at which an alert is triggered may differ from prices shown on other platforms or at the time you view the market; (3) Under extreme market conditions, such as flash crashes or chain congestion, alerts may be triggered or delivered only after the price has moved significantly; (4) Voice alerts do not execute any trades on your behalf (such as closing positions, stop-loss, or cancellation) unless explicitly provided and agreed in other specific functions or agreements.6.2 To the maximum extent permitted by applicable law, BitFrog shall not be liable for any direct or indirect losses arising from:(1) Failures or delays caused by telecom carriers, voice service providers, or internet service providers;(2) Your failure to answer calls, missed calls, mishearing, or delayed response after receiving an alert;(3) Market risk and trading loss arising from extreme market movements, exchange outages, API malfunctions, or similar events;(4) Alerts not triggering or triggering unexpectedly due to your misconfiguration of alert conditions;(5) Any interruptions, suspensions, or changes to the Voice Alert Service caused by force majeure or other circumstances not attributable to BitFrog.6.3 You acknowledge and agree that the Voice Alert Service is only an auxiliary tool and cannot replace your own continuous monitoring of the market and independent judgment. You are solely responsible for any trading or investment decisions made in reliance on the alerts.
Article 7 – Personal Data and Use of Phone Number
7.1 To enable the Voice Alert Service, you must provide BitFrog with your mobile phone number and authorize BitFrog to use that number:(1) To place automated voice calls for alerts;(2) To contact you regarding issues necessary for the provision and maintenance of the Voice Alert Service;(3) To send important notices or risk alerts specifically related to this service.7.2 BitFrog will collect, use, and protect your phone number and other personal data in accordance with the BitFrog Privacy Policy and applicable data protection laws. BitFrog will not use your phone number for unrelated marketing calls without your separate, explicit consent.7.3 BitFrog may provide necessary information (such as masked phone numbers and call result data) to third-party voice service providers strictly for the purpose of enabling and operating the Voice Alert Service.
Article 8 – Termination and Suspension of the Service
8.1 BitFrog may suspend or terminate your access to the Voice Alert Service and deem this Agreement (in relation to the Voice Alert Service) terminated under any of the following circumstances:(1) You seriously violate this Agreement or other BitFrog agreements, policies, or rules;(2) You use the service to conduct illegal activities or activities contrary to public order and good morals;(3) BitFrog is required by laws, regulations, or competent authorities to suspend or terminate the relevant service;(4) BitFrog decides, in its reasonable business judgment, to materially adjust, discontinue, or replace the Voice Alert Service.8.2 You may deactivate the Voice Alert Service or delete alert tasks at any time within the BitFrog settings. Termination or deactivation by you does not affect your obligations and liabilities already incurred under this Agreement prior to such termination.8.3 After termination of this Agreement, BitFrog is not obligated (except as required by law) to retain records, data, or call logs specifically related to the Voice Alert Service, but may retain such data as it deems necessary for legal and compliance purposes.
Article 9 – Breach and Liability
9.1 Any party that breaches this Agreement and thereby causes losses to the other party shall bear corresponding liability for damages to the extent required by law and as set out in this Agreement.9.2 If your illegal or non-compliant use of the Voice Alert Service results in any third-party claim, complaint, or regulatory penalty against BitFrog, you shall fully indemnify BitFrog for all losses arising therefrom, including but not limited to fines, compensation, legal fees, and other reasonable costs.
Article 10 – Force Majeure
10.1 “Force Majeure” refers to objective events that are unforeseeable at the time this Agreement is concluded, unavoidable, and insurmountable, and that result in the full or partial failure or delay of performance under this Agreement. Such events include but are not limited to natural disasters, war, strikes, riots, significant changes in laws or regulations, regulatory orders, large-scale network outages, major telecom failures, large-scale virus attacks, or hacking incidents.10.2 If either party’s performance is delayed or prevented due to a Force Majeure event, that party shall not be deemed in breach and shall not be liable for corresponding damages, provided that the affected party takes reasonable steps to mitigate losses and notifies the other party within a reasonable period.
Article 11 – Miscellaneous
11.1 Matters not covered by this Agreement shall be governed by other agreements, policies, rules, and announcements issued by the BitFrog Platform from time to time, including but not limited to the general User Agreement, Privacy Policy, and feature-specific rules. In case of any inconsistency, the more specific rule governing the Voice Alert Service shall prevail.11.2 BitFrog reserves the right to amend this Agreement as required by business development and changes in laws and regulations. Any amendments will be published via Platform announcements, page prompts, or similar means. Once published, the updated Agreement shall take effect immediately. Your continued use of the Voice Alert Service shall be deemed acceptance of the updated Agreement.11.3 The formation, validity, interpretation, and performance of this Agreement shall be governed by the laws of the jurisdiction in which the BitFrog operating entity is registered (excluding conflict-of-laws rules). Any disputes arising from or in connection with this Agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the court(s) with jurisdiction over the domicile of the BitFrog operating entity or to another dispute resolution body designated by BitFrog.
